ReAllocate Terms and Conditions of Use

1. Acceptance

Please read these terms carefully before using this website and platform.  By using or visiting the ReAllocate website (the “Website”), or any ReAllocate service provided to you on, from, or through the Website, the ReAllocate platform or through off-line collaboration facilitated by ReAllocate (the “Service”), you agree to accept these terms and conditions (the “Terms of Use”). If you do not accept these Terms of Use, do not use the Website or Service. Nothing in these Terms of Use shall be deemed to confer any third-party rights or benefits.

By using this Website, you represent that you are of legal age to form a binding contract with ReAllocate. Although we may attempt to notify you when major changes are made to these Terms of Use, you are encouraged to check back often so you are aware of your current rights and responsibilities. ReAllocate may, in its sole discretion, modify or revise some or all of these Terms of Use and policies at any time, and you agree to be bound by such modifications or revisions. If at any time the Terms of Use are no longer acceptable to you, you should immediately cease all use of this Website and Service. 2. Service

ReAllocate connects world-class talent with real world problems. The Service connects projects focused on providing social good with innovators, storytellers, mentors, visionaries, hackers and backers who help enable their missions. Users of the Service include people connected to social impact projects and people who want to use their skills, knowledge, and resources to provide expert assistance to such projects (“Users”). The Service allows Users to work together on such projects both on-line and off-line through use of the Website and through other aspects of the Service including but not limited to ReAllocate facilitated collaborations, “hacktivations,” and partnerships.

These Terms of Use apply to all Users of the Service, including users who are contributors of Content to the Service. “Content” includes text, software, hardware diagrams, product design documents, business plans, videos, scripts, graphics, photos, interactive features and other materials you may view on, access through, or contribute to the Service. The Service includes all aspects of ReAllocate, including but not limited to all services offered on-line via the Website and off-line via ReAllocate facilitated collaboration with ReAllocate partners.  

The Website may contain links to third party websites that are not owned or controlled by ReAllocate. ReAllocate has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, ReAllocate will not and cannot censor or edit the content of any third-party site. By using the Service, you expressly relieve ReAllocate from any and all liability arising out of your use of any third-party website.

3. Community Guidelines

To foster an open, welcoming, contributory environment you must and agree to adhere to the following practices. You may not post or link to content that is unlawful, harmful, offensive, threatening, abusive, libelous, harassing, defamatory, vulgar, obscene, profane, hateful, fraudulent, sexually explicit, violent, bigoted, or otherwise objectionable, that gives rise to civil or criminal liability, or otherwise violates any applicable local, state, national, or international law. You may not make false or misleading statements. You may not offer to sell or buy any product or service. You may not post material that infringes on any copyright, trademark, patent, trade secret, right of privacy or right of publicity. You may not disclose confidential information. You may not disclose information that you do not lawfully possess. You may not post, link to, upload or transmit software or other materials that contain viruses, worms, time bombs, Trojan horses, or other harmful or disruptive components. You may not restrict or inhibit any other user from using or enjoying this Website or Service, for example, by cracking, spoofing, defacing, or impairing functionality. You may not post political campaign materials, chain letters, mass mailings or spam.

You are expressly prohibited from compiling and using other Users' personal information , including addresses, telephone numbers, fax numbers, email addresses or other contact information that may appear on the Website, for the purpose of creating or compiling marketing and/or mailing lists and from sending other Users unsolicited marketing materials, whether by facsimile, email, or other technological means.

You also are expressly prohibited from distributing Users' personal information to third-party parties for marketing purposes. ReAllocate shall deem the compiling of marketing and mailing lists using Users' personal information, the sending of unsolicited marketing materials to Users, or the distribution of Users' personal information to third parties for marketing purposes a material breach of these Terms of Use.

ReAllocate notes that unauthorized use of Users' personal information in connection with unsolicited marketing correspondence also may constitute violations of various state and federal anti-spam statutes. ReAllocate reserves the right to report the abuse of Users' personal information to the appropriate law enforcement and government authorities, and ReAllocate will fully cooperate with any authorities investigating violations of these laws.

You are solely responsible for the content you provide. ReAllocate has the right, but not the duty, to pre-screen, refuse, edit, move or remove any content that violates these Terms of Use or that is unlawful. ReAllocate has the right to limit, terminate or suspend your access to and use of the Website or Service (which may include termination of access by anyone at your IP address) for breach of these Terms or Use or for conduct that, in ReAllocate’s sole discretion, subjects ReAllocate to unreasonable legal risk.

4. Use of Personally Identifiable Information

Information submitted to the Website is governed according to ReAllocate’s current Privacy Policy. You agree to provide true, accurate, current, and complete information when registering with the Website. It is your responsibility to maintain and promptly update this account information to keep it true, accurate, current, and complete. If you provides any information that is fraudulent, untrue, inaccurate, incomplete, or not current, or we have reasonable grounds to suspect that such information is fraudulent, untrue, inaccurate, incomplete, or not current, we reserve the right to suspend or terminate your account without notice and to refuse any and all current and future use of the Website.

Although sections of the Website may be viewed simply by visiting the Website, in order to access some Content and/or additional features offered at the Website or through the Service, you may need to sign on as a guest or register as a member. If you create an account on the Website, you may be asked to supply your name, address, a User ID and password. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur in connection with your password or account. You agree to immediately notify us of any unauthorized use of either your password or account or any other breach of security. You grant ReAllocate and all other persons or entities involved in the operation of the Website the right to transmit, monitor, retrieve, store, and use your information in connection with the operation of the Website and in the provision of services to you. If you are registered with ReAllocate, ReAllocate will be able to contact you with information that may be relevant to users.  The registration will facilitate the attribution of your work to you, and will allow us to contact you if we receive a Notice of Claimed Infringement for content you have provided so that you will have an opportunity to provide a Counter-Notification. 

ReAllocate cannot and does not assume any responsibility or liability for any information you submit, or your or third parties’ use or misuse of information transmitted or received using website. 5. Permitted and Prohibited Uses. 

You may use the Website for the sole purpose of sharing and exchanging ideas with other users. You may not use the Website to violate any applicable local, state, national, or international law, including without limitation any applicable laws relating to antitrust or other illegal trade or business practices, federal and state securities laws, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, and any U.S. laws, rules, and regulations governing the export and re-export of commodities or technical data.

You may not upload or transmit any material that infringes or misappropriates any person's copyright, patent, trademark, or trade secret, or disclose via the Website any information the disclosure of which would constitute a violation of any confidentiality obligations you may have. You understand that ReAllocate does not guarantee any confidentiality with respect to any Content you submit.

You are solely responsible for your own Content and the consequences of submitting and publishing your Content on the Service. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish Content you submit; and you license to ReAllocate all patent, trademark, trade secret, copyright or other proprietary rights in and to such Content for publication on the Service pursuant to these Terms of Use.

By submitting Content to ReAllocate via the Service, you expressly grant, and you represent and warrant that you hold title to or rights in the Content sufficient to grant to ReAllocate a royalty-free, sub-licensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, publicly perform, publicly display, and make derivative works of all such Content and your name, voice, and/or likeness as contained in your Content, if applicable, in whole or in part, for use in connection with the Service and ReAllocate's (and its successors' and affiliates') mission, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any formats, through any channels, and in any form, media or technology, whether now known or hereafter developed. In addition, by submitting Content to ReAllocate via the Service, you represent and warrant that you have not granted an exclusive right in the Content to any third party nor granted to any third party an exclusive license to use such Content.  

You also hereby grant each User of the Service, whether registered or unregistered, a non-exclusive license to access your Content through the Service, and to use, reproduce, distribute, modify, display and perform such Content as permitted through the functionality of the Service and under these Terms of Use.  

You further agree that Content you submit to the Service will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to share the material and to grant ReAllocate all of the license rights granted herein. If you work for a company or at a University, it's likely that you're not the copyright holder of anything you make, even in your free time. Before making contributions to this site, get written permission from your employer.

ReAllocate does not permit copyright infringing activities and infringement of intellectual property rights on the Service, and ReAllocate will remove all Content if properly notified that such Content infringes on another's intellectual property rights. ReAllocate does not represent or warrant that any content it provides is non-infringing and you are responsible for ensuring that your reuse of content from this Website or from the Service is lawful. ReAllocate reserves the right to remove Content without prior notice.


You agree not to circumvent, disable or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Service or the Content therein. Historical information necessarily is not current and is provided for your reference only. ReAllocate has no obligation to update any information on this Website.

The inclusion of any link to a website does not imply agreement with or endorsement by ReAllocate of the website, the statements on it, or their entities, products or services. ReAllocate has not reviewed the linked websites and is not responsible for the content or availability of any linked websites. 7. Lawful Use

Your use of this Website is subject to all applicable local, state, national and international laws and regulations. Any attempt by any person to deliberately damage this Website is a violation of criminal and civil laws. ReAllocate reserves the right to seek damages from any such person to the fullest extent permitted by law. 

8. International Issues. 

ReAllocate administers this Website from San Francisco, California, United States. ReAllocate makes no representation that this Website is appropriate or available for use outside of the United States and access to this Website from territories where its contents are illegal or restricted is prohibited. If you choose to access this Website from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.

9. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless ReAllocate, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms of Use; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party including but not limited to such types of claims as tort, breach of contract, false advertising, product liability, and patent, copyright or trademark infringement, even if such content is reviewed by ReAllocate prior to publishing on the Website. This defense and indemnification obligation will survive these Terms of Use and your use of the Service.

10. Digital Millennium Copyright Act

If you are a copyright owner or an agent thereof and believe that any Content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

1) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

2) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;

You acknowledge that if you fail to comply with all of the above requirements, your DMCA notice may not be valid.

If you believe that your Content that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner's agent, or pursuant to the law, to post and use the material in your Content, you may send a counter-notice containing the following information to the Copyright Agent:

1) Your physical or electronic signature;

2) Identification of the Content that has been removed or to which access has been disabled and the location at which the Content appeared before it was removed or disabled;

3) A statement that you have a good faith belief that the Content was removed or disabled as a result of mistake or a misidentification of the Content; and

4) Your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in San Francisco, California, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.

If a counter-notice is received by the Copyright Agent, ReAllocate may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed Content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the Content provider, member or user, the removed Content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at ReAllocate’s sole discretion.

11. WARRANTY DISCLAIMER. 

YOU AGREE THAT YOUR USE OF THE SERVICES SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, REALLOCATE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. REALLOCATE MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE WEBSITE’S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. REALLOCATE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE OFFERED BY A THIRD PARTY THROUGH THE SERVICE, AND REALLOCATE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. 13. Jurisdiction. 

These Terms of Use and all claims relating to the relationship between the parties are governed by Federal laws and the laws of California, U.S.A. without regard to choice of law provisions. You and ReAllocate agree to submit to the jurisdiction of the state courts located within San Francisco, California and to the jurisdiction of the federal courts located in the District Court for the Northern District of California. 

14. Ability to Accept Terms of Use

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use.

15. Assignment, Waiver and Severability. 

These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by ReAllocate without restriction. ReAllocate’s failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. No waiver of any term of this these Terms of Service shall be deemed a further or continuing waiver of such term or any other term. If one or more of the provisions contained in this Agreement is held invalid, illegal or unenforceable in any respect by any court of competent jurisdiction, such holding will not impair the validity, legality, or enforceability of the remaining provisions. 

16. Entire Agreement. 

These Terms of Use supersede all previous agreements, understandings, and arrangements between the parties, whether oral or written, and constitutes the entire agreement between the parties regarding the subject matter herein. 

YOU AND REALLOCATE AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
